CHARLOTTE, N.C.,\u00a0Sept. 02, 2020\u00a0(GLOBE NEWSWIRE) —\u00a0SPX Corporation\u00a0(NYSE:SPXC) announced today that it has acquired\u00a0ULC Robotics (\u201cULC\u201d), a leading developer of robotic systems, machine learning applications and inspection technology for the energy, utility and industrial sectors.\u00a0 A pioneer in the field of Robotics-as-a-Service (RaaS), ULC operates a growing, recurring-revenue business called CISBOT which uses robotic solutions designed to rehabilitate and extend the life of natural gas distribution networks for utility customers. \u00a0ULC also operates a custom Research & Development (\u201cR&D\u201d) business that provides cutting edge technology solutions to a growing base of utility and industrial customers.<\/p>\n

ULC is headquartered in\u00a0Hauppauge, New York, with a significant presence in the\u00a0United Kingdom. Its results will be reported with SPX\u2019s Location & Inspection platform within its Detection & Measurement segment. Over the last twelve months ULC Robotics has had revenue of approximately\u00a0$40 million\u00a0and, once integrated, is anticipated to be accretive to SPX\u2019s Detection & Measurement segment margin. The acquisition is expected to have a modest impact on SPX\u2019s 2020 Adjusted EPS.<\/p>\n

Under the terms of the purchase agreement, a subsidiary of SPX acquired\u00a0ULC Robotics, Inc.,\u00a0ULC Robotics International, Inc., and\u00a0ULC Pipeline Robotics LLC\u00a0for cash consideration that includes an upfront payment and subsequent, contingent cash payments depending on certain operational and financial performance milestones.\u00a0 ULC\u2019s RaaS CISBOT business and R&D business will operate under separate, distinct legal entities within SPX.<\/p>\n
