CHARLOTTE, N.C.,\u00a0June 09, 2021\u00a0(GLOBE NEWSWIRE) —\u00a0SPX Corporation\u00a0(\u201cSPX\u201d) announced today that it has entered into a binding agreement to sell 100% of the issued and outstanding stock of its wholly-owned subsidiary,\u00a0SPX Transformer Solutions, Inc., to\u00a0GE-Prolec Transformers, Inc.\u00a0(together with its affiliates, \u201cProlec GE\u201d), a subsidiary of a joint venture between\u00a0GE\u00a0(NYSE:\u00a0GE) and\u00a0Xignux S.A. de C.V.\u00a0for a cash purchase price of\u00a0$645 million. SPX anticipates that after taxes on a gain from the sale, net proceeds will be approximately\u00a0$540 million. The purchase price is subject to customary net working capital and similar adjustments at closing. The transaction is anticipated to close during the second half of 2021, subject to the satisfaction of typical closing conditions, including antitrust regulatory review.\u00a0SPX Corporation\u00a0was represented by\u00a0J.P. 2021 Guidance Update:<\/strong><\/p>\n

SPX is updating its 2021 guidance for the anticipated sale of\u00a0SPX Transformer Solutions. SPX now anticipates completion of the transaction to occur in the second half of 2021 and, as such, expects to account for the results of\u00a0SPX Transformer Solutions\u00a0as discontinued operations when it reports second quarter 2021 results in early\u00a0August 2021. SPX plans to update its segment reporting structure to eliminate the Engineered Solutions segment, and to report the results of its Process Cooling business within its HVAC segment.<\/p>\n

SPX now anticipates Adjusted earnings per share* for the full-year 2021 in a range of\u00a0$2.17\u00a0to\u00a0$2.37\u00a0compared with prior guidance of\u00a0$3.06\u00a0to\u00a0$3.26. SPX anticipates adjusted revenue* of approximately\u00a0$1.25 billion, compared with prior guidance of\u00a0$1.7 billion, and adjusted operating income margin* of approximately 11-12%, consistent with prior guidance.<\/p>\n
